Terms of use

Novacula Terms of Service

Effective Date: 01 June 2026

Last Updated: 01 June 2026

Service Provider: RSQUAD TECHNOLOGIES LLC, a company registered in the United Arab Emirates.

These Terms of Service govern access to and use of the hosted Novacula Control Plane and related hosted platform functionality. Please read these Terms carefully before creating an account, connecting infrastructure, or using Novacula.

By creating an account, accepting these Terms through the platform interface, connecting an executor or other component to Novacula, accessing or using the Service, or continuing to use the Service, you agree to be bound by these Terms. If you use Novacula on behalf of a company, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity.

If RSquad processes personal data on behalf of a User or Organization as a processor in connection with the Service, such processing is governed by the Novacula Data Processing Addendum, which forms part of these Terms to the extent applicable.

If you do not agree to these Terms, you must not use Novacula.

1. Definitions

In these Terms:

“RSquad” means RSQUAD TECHNOLOGIES LLC, also referred to as “we”, “us”, or “our”.

“Novacula” means the Novacula hosted control plane, web interface, management functionality, monitoring functionality, account and organization functionality, and other hosted features made available by RSquad under these Terms.

“DPA” means the Novacula Data Processing Addendum available at the Novacula website, as updated from time to time.

“Customer Personal Data” means personal data processed by RSquad on behalf of a User or Organization in connection with the Service, as further described in the DPA.

2. Scope of these Terms

These Terms govern access to and use of the hosted Novacula Control Plane and related hosted platform functionality.

Novacula provides a hosted control plane and web interface that allows you to connect your own infrastructure, deploy or connect compatible Open-Source Components, manage blockchain full or archive nodes, monitor node status, view logs and metrics, and use other functionality made available through the Service.

These Terms do not govern separate on-premise delivery, fully standalone deployment, enterprise deployment, custom deployment, paid chain integration, custom adapter development, migration, consulting, professional services, or any individually negotiated commercial arrangement unless expressly stated in a separate written agreement.

If you and RSquad enter into a separate written agreement, order form, enterprise license, statement of work, support schedule, or other individually negotiated document, that separate document governs the subject matter covered by it. In case of conflict, the separate written document controls for the relevant subject matter.

3. Account and Registration

To use Novacula, you must create an account and provide registration information. At launch, registration and authentication are expected to use email and password unless RSquad makes other authentication methods available.

You must provide accurate, current, and complete information when registering and keep such information up to date.

You are responsible for maintaining the confidentiality of your account credentials, passwords, sessions, access tokens, API keys, executor keys, agent keys, and any other means of accessing your account, Organization, the Service, or User Infrastructure.

You are responsible for all activities carried out through your account, Organization, credentials, connected components, and User Infrastructure, whether such activities are performed by you, your employees, contractors, invited users, administrators, or any other person who obtains access through you.

You must promptly notify RSquad if you become aware of any unauthorized access, suspected compromise, security incident, loss of credentials, exposed API key, exposed executor key, or misuse related to your account, Organization, connected components, or User Infrastructure.

4. Organizations, Workspaces, and User Roles

Novacula supports Organizations and user roles within an Organization. Users may create or join an Organization where the Service functionality is available.

A User who creates an Organization or has administrative rights is responsible for managing access, inviting and removing users, assigning roles, and controlling activity within that Organization.

If you invite users to an Organization, you are responsible for their actions within the scope of the access granted to them.

The Service may support roles such as Owner, Admin, and Member. Unless changed in the Service, Owner and Admin roles may perform operational actions such as connecting executors, managing API keys, deploying, configuring, upgrading, starting, stopping, restarting, and deleting nodes. Member roles may have read-only access to Organization resources.

RSquad may modify, add, remove, or rename roles, permission levels, invitation flows, account management functionality, and Organization functionality as the Service evolves.

5. Right to Use the Service

Subject to your compliance with these Terms, RSquad grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Service solely for your own internal business purposes or personal evaluation purposes, depending on whether you use the Service as an organization or as an individual.

These Terms do not transfer ownership, exclusive rights, source code, intellectual property rights, or any other rights in Novacula to you, except for the limited right to access and use the Service in accordance with these Terms.

Any use of the Service outside these Terms requires RSquad’s prior written consent.

6. No Transfer, Resale, or Third-Party Managed Service Use

You must not:

  • transfer, sell, rent, sublicense, assign, or otherwise make the Service available to any third party except invited users within your Organization acting under your responsibility;
  • use the Service to provide a managed service, white-label service, hosted service, outsourcing service, or similar service to customers, partners, or other third parties;
  • operate, administer, monitor, or manage through Novacula any nodes, infrastructure, or workloads owned by third parties or operated for the benefit of third parties, unless RSquad has expressly approved such use in writing;
  • transfer any account, Organization, credentials, tokens, API keys, executor keys, or other access rights to any unauthorized person;
  • use the Service to create, support, benchmark, train, or promote a competing product or service without RSquad’s prior written consent.

7. Open-Source Components

Novacula may use, reference, or provide Open-Source Components that are necessary or useful for connecting User Infrastructure to the Hosted Control Plane or for operating blockchain nodes in User Infrastructure.

Open-Source Components are governed by their applicable open-source licenses, not by these Terms, unless expressly stated otherwise. If these Terms conflict with an applicable open-source license with respect to an Open-Source Component, the applicable open-source license controls for that component.

Open-Source Components may be published in separate repositories with their own LICENSE files, README files, security files, third-party notices, documentation, and contribution rules. You must comply with the applicable open-source licenses when using Open-Source Components.

Access to and use of the hosted Novacula Control Plane is governed by these Terms. Use of Open-Source Components does not grant access to the Hosted Control Plane unless you also have an account and comply with these Terms.

8. User Infrastructure and Executor Boundary

Novacula is a hosted control plane for infrastructure that you own, control, or operate. Blockchain nodes, executors, agents, operators, runtime components, storage, network resources, cloud accounts, and related workloads run in User Infrastructure, not in infrastructure operated by RSquad for you.

You are solely responsible for:

  • providing, paying for, securing, and maintaining User Infrastructure;
  • cloud accounts, bare metal hosts, virtual machines, Kubernetes clusters, storage, networking, firewalls, routing, access controls, backups, disaster recovery, and monitoring of User Infrastructure;
  • installing, configuring, operating, updating, and removing Executors and related components in User Infrastructure;
  • selecting chains, networks, clients, versions, resource limits, storage settings, RPC exposure, configuration overrides, and other node parameters;
  • all actions, commands, configurations, lifecycle operations, and changes initiated through your account, Organization, users, API keys, or connected components;
  • the consequences of using Novacula in User Infrastructure, including downtime, data loss, resynchronization, failed deployment, failed update, misconfiguration, or infrastructure security incident.

Executors connect from User Infrastructure to the Hosted Control Plane. The Service may use outbound connections from Executors to fetch work, report status, report capabilities, and provide telemetry. RSquad does not, merely by providing the Hosted Control Plane, become the operator or administrator of User Infrastructure.

Novacula may provide capability checks, resource checks, validation logic, warnings, recommendations, status information, logs, metrics, or similar technical information. Such information is provided to assist you and is not a guarantee of successful deployment, synchronization, availability, performance, compatibility, security, or fitness for your particular use case.

9. Node Management Through the Hosted Control Plane

Novacula may allow authorized users in your Organization to initiate deployment, configuration, upgrade, start, stop, restart, delete, monitoring, logging, maintenance, or other operational actions through the Hosted Control Plane.

Operational actions initiated through the Service are carried out in User Infrastructure by Executors or other components connected by you to Novacula. You are solely responsible for all such actions and their consequences.

Deleting, stopping, restarting, reconfiguring, or upgrading a node may affect node availability, stored data, synchronization state, RPC availability, application traffic, monitoring, or other operational outcomes. Depending on the deployment environment and configuration, deleting a node may permanently remove node data or require a full resynchronization.

You are responsible for ensuring that all operational actions comply with your internal policies, security requirements, change management procedures, backup procedures, regulatory obligations, contractual obligations, and applicable law.

RSquad does not become a node operator, validator operator, managed service provider, custodian, trustee, fiduciary, or operator of User Infrastructure merely by providing access to the Service.

10. No Custody, No Keys, No Asset Management

RSquad does not custody, hold, control, or manage your digital assets, wallet assets, tokens, private keys, seed phrases, validator private keys, signing credentials, or any other means of control over blockchain assets.

RSquad does not sign transactions on your behalf and does not manage your wallet accounts, validator accounts, staking positions, rewards, balances, or blockchain operations.

You are solely responsible for the security and management of your keys, wallets, accounts, credentials, signing infrastructure, assets, and blockchain operations.

You should not provide private keys, seed phrases, validator private keys, signing credentials, or other highly sensitive secrets to RSquad through the Service, support channels, GitHub issues, Telegram, email, documentation feedback, or any other communication channel.

You must not submit special categories of personal data, criminal offence data, private keys, seed phrases, validator private keys, signing credentials, wallet secrets, production secrets, authentication secrets, or other highly sensitive information to the Service or support channels unless RSquad expressly approves this in writing.

You acknowledge that loss, compromise, or misuse of private keys, seed phrases, signing credentials, accounts, wallets, User Infrastructure, or configuration may result in irreversible loss of assets, data, access, rewards, revenue, or other economic consequences. RSquad is not responsible for such losses.

11. Blockchain and Infrastructure Risks

Blockchain networks, clients, protocols, validators, RPC layers, peer-to-peer networks, bridges, wallets, exchanges, custodians, smart contracts, and other blockchain-related systems are external to RSquad and are not controlled by RSquad.

RSquad does not guarantee:

  • successful deployment, operation, or synchronization of nodes;
  • uninterrupted availability of RPC endpoints, nodes, peers, blockchain networks, or User Infrastructure;
  • absence of desynchronization, reorganization, fork, block rewind, client bug, protocol bug, network failure, data loss, or state loss;
  • compatibility with every hardfork, client update, protocol change, configuration change, infrastructure environment, cloud provider, operating system, or Kubernetes version;
  • successful processing of transactions, application requests, RPC requests, WebSocket traffic, gRPC traffic, or other network activity;
  • absence of failed transactions, loss of rewards, revenue loss, yield loss, business loss, or other economic loss;
  • that Novacula will meet your specific business, legal, regulatory, security, compliance, production, or operational requirements.

You use Novacula and operate blockchain nodes at your own risk.

12. Supported Chains, Clients, Adapters, and Versions

Supported chains, adapters, clients, networks, node types, versions, and other supported functionality may be identified in the Service interface, documentation, release notes, repositories, or other materials made available by RSquad.

RSquad may add, modify, limit, suspend, deprecate, or remove support for any chain, adapter, client, network, node type, version, feature, or integration at its discretion, including where a chain, client, adapter, or dependency is unstable, insecure, unsupported, legally restricted, technically impractical, economically impractical, operationally impractical, or affected by third-party changes.

The availability of any chain, adapter, network, client, or version in Novacula does not imply endorsement, partnership, affiliation, certification, approval, or support by any blockchain foundation, protocol team, client team, ecosystem entity, or other third party unless expressly stated by RSquad.

Custom adapters, requested integrations, or support for additional chains may be provided at RSquad’s discretion and may require a separate written agreement. RSquad is not required to develop, maintain, or provide custom adapters for all users.

13. Beta and Free Access

As of the Effective Date, the Service is provided in Beta and free of charge. Beta means the current pre-commercial stage of the hosted Novacula Control Plane and does not imply that Novacula is a separate on-premise or enterprise license product under these Terms.

Beta access may be available through self-signup, invitation, approval, account creation, or another onboarding method made available by RSquad.

Beta and free access are provided “as is” and “as available”, without SLA, warranties, guaranteed availability, guaranteed support, guaranteed response time, guaranteed resolution time, or obligation to maintain any particular functionality.

RSquad may at any time modify Beta functionality, add or remove features, change limits, limit access, suspend accounts, discontinue free access, or terminate the Beta program in whole or in part.

You may use Beta in production only at your own risk. RSquad is not responsible for downtime, desynchronization, data loss, failed deployments, failed updates, failed transactions, loss of business, loss of rewards, revenue loss, or any other consequences of using the Service in production or business-critical environments.

14. Future Commercial Terms

As of the Effective Date, the Service is provided free of charge and no paid hosted plans are included in these Terms.

RSquad may introduce paid hosted plans, usage limits, paid features, paid support tiers, order forms, subscriptions, invoices, payment methods, taxes, renewal terms, cancellation terms, refund terms, or other commercial terms in the future. Such terms will apply only if made available by RSquad and accepted by you through the Service, an order form, a written agreement, or another method specified by RSquad.

Enterprise, self-hosted, on-premise, professional services, and chain integration arrangements are separate from these Terms unless expressly incorporated by written agreement.

15. Support

During Beta, support is provided on a best-efforts basis only.

RSquad may provide support channels through the website, platform, documentation, email, Telegram bot, GitHub issues for Open-Source Components, or other communication methods published by RSquad.

Unless expressly agreed otherwise in a separate written agreement, support is provided without guaranteed response time, resolution time, service level, escalation path, availability commitment, or obligation to resolve any particular issue.

RSquad determines the priority, order, method, scope, and manner of handling support requests at its discretion.

Support for the Service does not include custom deployment, custom configuration, migration, consulting, custom adapter development, professional services, incident response in User Infrastructure, management of User Infrastructure, or troubleshooting of third-party services unless expressly agreed by RSquad in writing.

Security reports may be submitted through the security channel published by RSquad. Any penetration testing, vulnerability scanning, load testing, or security testing must comply with Section 23 and any published security or responsible disclosure policy.

16. Professional Services and Enterprise Arrangements

RSquad may separately provide onboarding, implementation, migration assistance, custom configuration, custom adapter development, consulting, enterprise support, self-hosted deployment, on-premise delivery, or other professional services.

Such services are not included in standard access to the Service unless expressly agreed by RSquad in writing.

Any enterprise, self-hosted, on-premise, custom deployment, professional services, paid chain integration, or other individually negotiated arrangement is governed by a separate agreement, order form, statement of work, license agreement, support schedule, or other written document between the parties.

17. Data, Telemetry, Logs, Audit Records, and Privacy

To provide, secure, monitor, troubleshoot, improve, and support Novacula, RSquad may collect and process account data, Organization data, authentication and session data, technical data, telemetry, metadata, configuration data, infrastructure identifiers, executor identifiers, node identifiers, node configuration, chain and client information, status information, logs, metrics, usage data, audit records, error reports, support communications, and other data related to use of the Service.

The exact categories of data collected, processing purposes, retention periods, user rights, security measures, cookies, analytics, subprocessors, international transfers, and other privacy or data protection matters are described or may be described in RSquad’s Privacy Policy, Cookie Policy, Security Policy, or other policies if published.

To the extent RSquad processes Customer Personal Data on behalf of a User or Organization as a processor under applicable data protection laws, such processing is governed by the DPA. If there is a conflict between these Terms and the DPA regarding the processing of Customer Personal Data, the DPA controls to the extent of that conflict.

RSquad may use aggregated, anonymized, statistical, or technical data for analytics, debugging, product improvement, security, capacity planning, research, reporting, and other internal purposes, provided such data does not identify a specific user or Organization unless applicable law allows or requires otherwise.

Certain technical data may be necessary for operation, status monitoring, diagnostics, security, audit, and support of the Service.

RSquad does not collect or require private keys, seed phrases, validator private keys, signing credentials, or other means of control over blockchain assets to use Novacula.

18. AI Assistant and Automated Assistance

The Service may include an AI assistant, automated assistance, diagnostics, recommendations, or similar functionality.

AI or automated outputs may be incomplete, inaccurate, outdated, or unsuitable for your specific environment. You are responsible for independently reviewing and validating any AI or automated output before relying on it, applying it, or using it to make operational, security, legal, financial, or business decisions.

AI or automated assistance does not replace professional engineering judgment, security review, legal advice, tax advice, compliance review, or operational change management.

19. Intellectual Property

Novacula, including the Hosted Control Plane, platform, proprietary software, architecture, UI, design, workflows, documentation, trademarks, logos, product names, service names, code, APIs, databases, monitoring logic, adapters, proprietary components, and other RSquad materials, is owned by RSquad or its licensors.

Except for the limited right of use expressly granted under these Terms, no rights in Novacula are transferred to you.

You must not remove, modify, or obscure any copyright notices, trademark notices, proprietary notices, or license notices included in Novacula or related materials.

All rights not expressly granted to you under these Terms are reserved by RSquad.

20. Feedback

If you provide RSquad with feedback, suggestions, feature requests, bug reports, ideas, comments, roadmap suggestions, or other input related to Novacula, you grant RSquad a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, and transferable right to use, copy, modify, implement, distribute, commercialize, and otherwise exploit such feedback without compensation, attribution, restriction, or obligation to you.

Providing feedback does not give you any rights in Novacula, future features, roadmap, or RSquad intellectual property.

21. Publicity

If you use Novacula on behalf of an organization, you grant RSquad the right to use your organization’s name, trade name, and logo to identify your organization as a user, beta user, design partner, or customer of Novacula, including on websites, presentations, marketing materials, investor materials, customer lists, and other public or non-public RSquad materials.

You may send RSquad a reasonable request to stop future public use of your logo or name. After receiving such a request, RSquad will use commercially reasonable efforts to remove your logo or name from future public marketing materials within a reasonable time.

RSquad is not required to remove materials that have already been distributed, published, provided to third parties, archived, included in historical documents, or are outside RSquad’s control.

Publication of detailed case studies, testimonials, or quotes on your behalf may require separate approval if RSquad determines that approval is appropriate.

You may not use RSquad’s or Novacula’s name, logo, trademarks, or brand assets without RSquad’s prior written consent, except as expressly permitted by applicable law.

22. Third-Party Services and Dependencies

Novacula may interact with or depend on third-party services, infrastructure providers, cloud providers, blockchain networks, blockchain clients, repositories, package managers, monitoring tools, logging tools, communication tools, authentication providers, analytics providers, payment processors if later introduced, AI providers if used, or other third-party systems.

RSquad does not control third-party services and is not responsible for their availability, security, performance, pricing, changes, outages, terms, data practices, or actions.

Your use of third-party services may be governed by separate terms, policies, licenses, or fees of the relevant third parties.

23. Restrictions and Prohibited Conduct

You must not:

  • violate these Terms or applicable law;
  • use Novacula for unlawful, harmful, fraudulent, sanctions-prohibited, abusive, or unauthorized purposes;
  • circumvent technical limits, access controls, rate limits, usage limits, authentication, account controls, or security measures;
  • interfere with Novacula, the Hosted Control Plane, infrastructure, networks, third-party services, blockchain networks, or other users;
  • use Novacula for malware, botnets, attacks, unauthorized access, credential harvesting, denial-of-service, scanning, exploitation, illegal surveillance, or other harmful activity;
  • reverse engineer, decompile, disassemble, copy, modify, or create derivative works of proprietary components of Novacula unless expressly permitted by applicable law;
  • scrape, crawl, harvest, or extract data from Novacula without authorization;
  • use Novacula for benchmark publication, competitive analysis, or public performance comparison without RSquad’s prior written consent;
  • perform penetration testing, vulnerability scanning, load testing, or security testing of Novacula without RSquad’s prior written permission, except as expressly permitted by a published responsible disclosure or security policy;
  • use Novacula to violate third-party rights, including intellectual property rights, privacy rights, contractual rights, or data protection rights;
  • upload, transmit, process, or expose data that you do not have the right to use;
  • impersonate another person or organization, misrepresent your identity or authority, or create accounts using false or misleading information;
  • use Novacula in a manner that may harm RSquad, Novacula, other users, third-party networks, blockchain ecosystems, or the reputation, security, or operation of any of them.

24. Compliance, Sanctions, and Export Controls

You represent and warrant that:

  • you are not a sanctioned person, blocked person, or person subject to trade restrictions;
  • you are not acting on behalf of any sanctioned person, blocked person, restricted entity, or person prohibited from using the Service;
  • you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction where use of the Service is prohibited by applicable law, sanctions, export controls, or RSquad compliance restrictions;
  • your use of Novacula does not violate sanctions, export controls, AML/CFT laws, anti-corruption laws, cybercrime laws, data protection laws, or other applicable requirements.

You must not use Novacula for sanctions evasion, money laundering, terrorist financing, fraud, cyberattacks, illegal surveillance, unauthorized access, market manipulation, scams, theft, exploitation, malware distribution, or other unlawful purposes.

RSquad may refuse registration, request additional information, limit functionality, suspend, or terminate access to Novacula if RSquad believes that your use may violate applicable law, sanctions, export controls, banking requirements, payment provider requirements, internal compliance policies, or create legal, security, reputational, or operational risk.

RSquad is not required to disclose details of compliance review, sanctions screening, risk assessment, or reasons for restricting access if such disclosure may violate law, internal policy, security considerations, or RSquad’s interests.

25. Suspension and Termination

RSquad may immediately limit, suspend, or terminate your access to Novacula, in whole or in part, if:

  • you violate these Terms;
  • you create security, legal, compliance, sanctions, fraud, abuse, or operational risk;
  • you use Novacula for prohibited purposes;
  • you violate usage restrictions or attempt to circumvent technical controls;
  • your account, credentials, API keys, executor keys, connected components, or User Infrastructure are compromised or suspected to be compromised;
  • suspension or termination is necessary to protect Novacula, RSquad, other users, third-party services, User Infrastructure, or blockchain networks;
  • suspension or termination is required or requested by applicable law, court order, regulator, bank, payment provider, infrastructure provider, or competent authority;
  • the Beta program, free access, or relevant feature is discontinued.

You may stop using Novacula at any time. If such functionality is available, you may delete your account through the Service interface or send a request to RSquad.

After account termination, RSquad may delete, deactivate, restrict, or retain account data, Organization data, connected component data, telemetry, configuration data, audit records, logs, metrics, support communications, and other data in accordance with internal retention practices, Privacy Policy, Security Policy, applicable law, and legitimate business purposes.

Where the DPA applies, deletion or return of Customer Personal Data will be handled in accordance with the DPA, subject to applicable law, backup retention, security, fraud prevention, dispute resolution, audit, accounting, tax, regulatory, and legitimate business retention requirements.

RSquad may retain certain data after account termination if necessary for legal compliance, security, fraud prevention, backup, audit, dispute resolution, enforcement of Terms, accounting, tax, regulatory, or legitimate business purposes.

26. Changes to the Service

RSquad may modify, improve, limit, suspend, discontinue, or remove Novacula features at any time.

Novacula is under active development, and functionality, interface, adapters, supported chains, supported clients, supported versions, account features, telemetry, roles, limits, documentation, and other elements may change.

RSquad is not required to maintain any particular feature, integration, adapter, UI, workflow, chain, client, version, or compatibility indefinitely.

27. Changes to these Terms

RSquad may update these Terms from time to time.

RSquad may notify users of material changes through website posting, platform notice, email, in-app notice, or another reasonable method where practicable.

For Beta, free access, preview features, or features provided without charge, changes may take effect immediately upon posting or notice unless RSquad states otherwise.

Your continued use of Novacula after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using Novacula.

RSquad may maintain a version history or archive of prior versions, but is not required to do so unless required by applicable law.

RSquad may also update the DPA from time to time. If required by applicable law, RSquad will provide notice of material changes to the DPA through website posting, platform notice, email, in-app notice, or another reasonable method.

28. Disclaimers

Novacula is provided “as is” and “as available”.

To the maximum extent permitted by applicable law, RSquad disclaims all warranties, representations, conditions, and commitments, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, reliability, compatibility, and uninterrupted operation.

RSquad does not guarantee that Novacula:

  • will operate without errors or interruptions;
  • will be available at any particular time;
  • will be compatible with any particular User Infrastructure, blockchain, client, protocol, cloud provider, operating system, Kubernetes version, software version, or configuration;
  • will prevent downtime, desynchronization, failed transactions, failed deployments, failed updates, security incidents, data loss, loss of rewards, or economic loss;
  • will meet your business, legal, regulatory, technical, security, compliance, production, or operational requirements;
  • will continue to support any particular chain, adapter, client, version, feature, or integration.

You use Novacula at your own risk.

29. Limitation of Liability

To the maximum extent permitted by applicable law, RSquad, its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, loss of use, downtime, blockchain losses, loss of rewards, failed transactions, desynchronization, node failure, security incidents, infrastructure failure, third-party service failure, or third-party claims, even if RSquad has been advised of the possibility of such damages.

For any use of Novacula free of charge, in Beta, preview, or other non-paid mode, RSquad’s aggregate liability for all claims related to Novacula is limited to USD 100 or the minimum amount permitted by applicable law, whichever is greater.

If paid hosted plans are introduced and you use a paid hosted plan, RSquad’s aggregate liability for all claims related to the Service will be limited to the amount actually paid by you to RSquad for the relevant paid hosted plan during the 12 months preceding the event giving rise to the claim, unless otherwise stated in a separate written agreement.

The limitations of liability apply regardless of legal theory: contract, tort, negligence, strict liability, warranty, statute, or otherwise.

Nothing in these Terms limits liability that cannot be limited under applicable law.

30. Indemnification

You agree to defend, indemnify, and hold harmless RSquad, its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • your use of Novacula;
  • User Infrastructure, nodes, configurations, commands, lifecycle actions, RPC endpoints, or blockchain operations;
  • your breach of these Terms;
  • your violation of applicable law, sanctions, export controls, or third-party rights;
  • use of Novacula for or on behalf of third parties;
  • data, content, configurations, or materials provided by you;
  • security incidents, unauthorized access, or misuse arising through your account, Organization, credentials, connected components, API keys, executor keys, or User Infrastructure.

RSquad may control the defense of any claim subject to indemnification at your expense if RSquad determines it is necessary.

31. Confidentiality

If you receive non-public information from RSquad, including private beta materials, roadmap, technical details, security information, pricing, unreleased features, product plans, or other confidential information, you must use such information only for the purpose of using or evaluating Novacula and must not disclose it to third parties without RSquad’s prior written consent.

This section does not restrict information that becomes publicly available without breach of these Terms, was lawfully known to you before receiving it from RSquad, or was independently developed by you without using RSquad confidential information.

32. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates.

If a dispute cannot be resolved through good-faith discussions, the dispute will be submitted to the competent courts of Dubai, United Arab Emirates, unless applicable law requires otherwise or the parties agree otherwise in a separate written agreement.

You agree to the jurisdiction of such courts for disputes related to these Terms or use of Novacula.

33. Notices

RSquad may provide notices through platform notice, email, website posting, in-app notification, or another reasonable method.

You must keep your email address and contact information in your account up to date.

Legal notices to RSquad may be sent to:

  • Legal notices:
  • legal@novacula.io
  • Support:
  • support@novacula.io
  • Security:
  • security@novacula.io
  • Company: RSQUAD TECHNOLOGIES LLC, License #1446989, United Arab Emirates

34. Miscellaneous

These Terms, together with the DPA to the extent applicable, Privacy Policy, Cookie Policy if any, Security Policy if any, any incorporated policies, applicable platform notices, documentation, plan terms, order pages, or separate written agreements, constitute the agreement between you and RSquad regarding the Service.

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

RSquad’s failure to immediately enforce any right or remedy does not waive that right or remedy.

You may not assign or transfer these Terms, your account, Organization, or your rights to use Novacula without RSquad’s prior written consent.

RSquad may assign, transfer, or novate these Terms, in whole or in part, to an affiliate, successor, acquirer, product owner, assignee, or other party in connection with a reorganization, product transfer, sale of business, asset transfer, IP transfer, merger, acquisition, or other corporate transaction.

Nothing in these Terms creates a partnership, joint venture, employment, agency, fiduciary relationship, or franchise between you and RSquad.

Sections that by their nature should survive termination will continue to apply, including restrictions, intellectual property, feedback, publicity, confidentiality, disclaimers, limitation of liability, indemnification, compliance, governing law, notices, and miscellaneous provisions.
